DELTON Schedules 24 September 2026 EGM to Vote on Convertible Bond Issue, Smart Manufacturing HQ Project and Multiple Capital Mandates

Delton Technology (Guangzhou) Inc. (DELTON) has issued a proxy circular outlining 16 resolutions to be tabled at its Second Extraordinary General Meeting (EGM) on 24 September 2026 in Guangzhou. The agenda focuses on funding initiatives, major capital projects and governance mandates.

Key financing proposal • Shareholders will consider a comprehensive package enabling the issuance of A-share convertible corporate bonds to non-specific investors. • Special resolutions cover the company’s compliance status, issuance size, pricing, coupon structure, conversion terms, redemption and put options, use of proceeds, guarantee arrangement, credit rating, proceeds management, and a validity period for the plan. • The board seeks a general mandate to handle all matters related to the offering.

Supporting documentation • Separate votes will be held on the revised preliminary proposal, the scheme demonstration and analysis report, the feasibility study on use of proceeds, a special report on previously raised funds and rules for bondholders’ meetings. • A mitigation plan addressing potential earnings dilution and a shareholder dividend return plan for 2026-2028 are also on the agenda.

Strategic investment • Management is requesting approval to invest in the “Delton Technology – Dongguan Smart Manufacturing Headquarters Project” through an investment agreement.

Additional mandates and risk-management tools • The company proposes to: – Apply for comprehensive bank credit facilities and provide guarantees to subsidiaries. – Secure a general mandate to issue H-shares. – Obtain a general mandate for share repurchases. – Increase the quota for foreign-exchange hedging. – Appoint a special audit institution for the convertible bond issuance.

Meeting logistics • The EGM will be held on 24 September 2026 at 3:00 p.m. in the company’s conference room at No. 22 Baoying South Road, Bonded Zone, Guangzhou. • Shareholders may vote in person or appoint proxies in accordance with the instructions provided; proxy forms must reach the company’s Hong Kong H-share registrar no later than 24 hours before the meeting.
