Holly Futures has released a circular outlining plans to appoint Professor Liu Xiaoxing, aged 56, as an Independent Non-Executive Director (INED). The nomination will be put to shareholders for approval at the company’s third Extraordinary General Meeting (EGM) of 2026, scheduled for 2:00 p.m. on 29 September 2026 in Nanjing, Jiangsu Province.

Professor Liu brings more than 26 years of academic and governance experience. He is currently Professor, Doctoral Supervisor, and Head of the Department of Finance at the School of Economics and Management, Southeast University, and Vice-Dean of Jiangsu Institute of FinTech, Digital and Tech-Finance. His previous board roles include independent directorships at Jiangsu Expressway Company Limited (October 2018 – June 2024) and Focus Technology Co., Ltd. (March 2020 – June 2026).

Upon shareholder approval, Liu will serve the remainder of the Board’s fifth session and receive an annual remuneration of HKD 0.12 million after tax, a figure set by the Board’s Remuneration Committee after benchmarking industry peers. His appointment will take effect immediately following the vote, simultaneously triggering the resignation of current INED Zhang Hongfa.

The company confirms that Liu meets the independence criteria under Rule 3.13 of the Hong Kong Listing Rules. His eligibility is also subject to a separate review by the Shenzhen Stock Exchange; the EGM vote will proceed only if no objection is raised.
