Shimao Services Seeks Shareholder Approval for Updated Memorandum & Articles to Support E-Meetings and Paperless Regime

Shimao Services Holdings Limited (Shimao Services) announced plans to replace its Second Amended and Restated Memorandum and Articles of Association with a Third Amended and Restated version, subject to shareholder approval at the forthcoming annual general meeting (AGM).

The proposed revisions are designed to: 1) allow electronic or hybrid general meetings with electronic voting; 2) align corporate governance practices with Hong Kong’s expanded paperless listing framework and electronic dissemination requirements; 3) accommodate an uncertificated securities market; and 4) execute ancillary housekeeping updates.

The changes will take effect only after shareholders pass a special resolution at the AGM. A circular detailing the amendments and the AGM notice will be dispatched in due course, according to the filing dated 14 April 2026.

The current board comprises Chairman Hui Sai Tan, Jason; President Shao Liang; and Independent Non-executive Directors Zhou Xinyi and Hui Wai Man, Lawrence.
