WKK Intl (Hold) Sets 29 Jun 2026 AGM; Seeks 20% Issuance, 10% Buy-back Mandates and Re-election of Three INEDs

Wong’s Kong King International (Holdings) Limited (WKK Intl (Hold), 00532) has dispatched a circular convening its 2026 annual general meeting (AGM) for 29 June 2026 at The Royal Garden, Tsim Sha Tsui, Hong Kong. Key agenda items focus on capital management flexibility and board composition.

Capital-raising and share buy-back authorities • Share issue mandate: Directors seek authority to allot and issue up to 20% of issued share capital as at the AGM date. Based on 729.90 million shares outstanding on 17 Apr 2026, the mandate would allow issuance of up to 145.98 million new shares. • Share repurchase mandate: A separate resolution requests approval to repurchase up to 10% of issued shares, equating to a ceiling of 72.99 million shares. • Mandate extension: Subject to both mandates being passed, the share issue limit may be increased by the aggregate nominal amount of shares actually repurchased.

Takeovers implications Major shareholder Greatfamily Inc., through Rewarding Limited, holds 207.80 million shares (28.47%). Full utilisation of the 10% buy-back mandate would lift its stake to 31.63%, potentially triggering a Rule 26 mandatory offer under the Hong Kong Takeovers Code. The board states it has no present intention to repurchase shares to that extent.

Board re-elections Independent non-executive directors Mr Tse Wan Chung Philip, Dr Leung Kam Fong and Dr Yip Wai Chun will retire by rotation and offer themselves for re-election. Each receives annual fees of HK$180,000 and has confirmed independence pursuant to Rule 3.13 of the Listing Rules.

Auditor Renewal of PricewaterhouseCoopers as external auditor and authorisation for the board to fix its remuneration will also be put to shareholders.

Administrative details • Register closure: 24–29 Jun 2026 (both dates inclusive) for AGM eligibility; share transfers must be lodged by 4:30 p.m. on 23 Jun 2026. • Proxy deadline: Forms must reach Tricor Investor Services not less than 48 hours before the meeting. • All resolutions will be voted on by poll.
