Ming Yuan Cloud Adds HK$2.16 Million Buy-back; 14.50 Million Shares Repurchased Since May Mandate

Ming Yuan Cloud Group Holdings Limited disclosed that it repurchased 2.00 million ordinary shares on 9 September 2026 via on-market transactions at prices between HK$1.065 and HK$1.09, for an aggregate consideration of HK$2.16 million. All of these shares are earmarked for cancellation.

Key capital dynamics as at 9 September 2026 • Issued shares (excluding treasury shares): 1.90 billion • Treasury shares on hand: 12.32 million • Total issued shares (including treasury): 1.91 billion • No new shares were issued during the period under review.

Progress of the 2026 repurchase mandate • Shareholders granted a buy-back mandate on 20 May 2026 covering up to 191.24 million shares. • Since the mandate date, the company has repurchased 14.50 million shares, equivalent to 0.76 % of the shares outstanding on that date. • The current moratorium on any new share issue or treasury-share sale runs until 9 October 2026.

Shares pending cancellation From 1 December 2025 to 9 September 2026, Ming Yuan Cloud bought back 55.95 million shares that remain outstanding pending cancellation, representing approximately 2.95 % of the existing issued share base. Acquisition prices ranged from HK$1.06 to HK$3.36 per share. Based on disclosed per-share prices and volumes, these purchases amount to roughly HK$147.18 million in total outlay.

Liquidity considerations Despite the cumulative buy-backs, the company’s issued share count (excluding treasury shares) was unchanged in the latest return, indicating that cancellations of the repurchased stock had not yet been effected by the 9 September 2026 reporting date.

The board confirmed that all repurchases complied with Hong Kong Stock Exchange Listing Rules and the terms of the shareholder-approved mandate.
