Hua Hong Grace Semiconductor Limited has issued a proxy form convening an Extraordinary General Meeting (EGM) on Wednesday, 23 September 2026, at 2:30 p.m. The meeting will be held in hybrid format—onsite at No. 288 Halei Road, Pudong New Area, Shanghai, and simultaneously online.

Key proposals to be tabled:

1. Amend the company’s original capital‐raising projects and redirect surplus proceeds from its prior RMB Share Issue to finance the “Wuxi JV III Investment Project.” 2. Approve an external equity investment in Wuxi JV III. 3. Grant Chairman Dr. Peng Bai a full mandate to execute all matters related to the change in proceeds utilisation and the Wuxi JV III investment.

Shareholders may appoint a proxy to vote on their behalf; completed proxy forms, together with any authorising documents, must reach Tricor Investor Services Limited no later than 48 hours before the EGM. For any poll subsequently taken after the meeting date, submission must be made at least 24 hours prior to the poll.

If multiple shareholders hold a single share, only the vote of the most senior holder—determined by the order of names in the register—will be recognised. Corporate shareholders must execute the proxy form under common seal or through a properly authorised signatory.
