Guotai Junan International: UBS AG Lifts Stake to 7.23% Through Net Purchase of 2.55 Million Shares

Hong Kong’s Takeovers Executive disclosed on 8 September 2026 that UBS AG, classified as a Class (6) associate of Guotai Junan International Holdings Ltd under the Hong Kong Code on Takeovers and Mergers, increased its shareholding in the offeree company during trading on 7 September 2026.

UBS AG executed three on-market transactions: • Purchased 1.04 million shares at HK$2.8799 each, raising its holding to 687.62 million shares (7.22% of issued capital). • Purchased 1.52 million shares at HK$2.8750 each, lifting the total to 689.13 million shares (7.23%). • Sold 2,000 shares at HK$2.8775 each, leaving a resultant balance of 689.13 million shares, equivalent to 7.23% of the company’s outstanding shares.

The net effect was an acquisition of 2.55 million shares at prices between HK$2.8750 and HK$2.8799, consolidating UBS AG’s position ahead of the proposed privatisation by way of scheme of arrangement. All dealings were conducted for UBS AG’s own account. UBS AG is ultimately owned by UBS Group AG.
