Victory Giant Technology (VGT) will convene its 2026 Third Extraordinary General Meeting (EGM) on 18 September 2026 at 2:30 p.m. in Huizhou, Guangdong. Shareholders will consider six resolutions aimed at expanding equity-based remuneration and employee share participation.
Special resolutions focus on: 1) Adoption of the “2026 Restricted A Share Incentive Scheme (Draft)” and its summary. 2) Approval of the corresponding “Management Measures for the Implementation and Assessment of the 2026 Restricted A Share Incentive Scheme.” 3) Granting the Board full authority to execute and manage all matters related to the incentive programme.
Ordinary resolutions cover: 4) Approval of the “2026 First Tranche A Share Employee Share Ownership Plan (Draft)” and its summary. 5) Endorsement of the “Management Measures of the 2026 First Tranche A Share Employee Share Ownership Plan.” 6) Delegation of implementation authority to the Board for the ESOP.
Shareholders of record as of 18 September 2026 may vote. The H-share register will be closed from 15 to 18 September 2026; transfers must be lodged with Computershare Hong Kong Investor Services by 4:30 p.m. on 14 September 2026. Voting at the EGM will be conducted by poll in accordance with Hong Kong Listing Rule 13.39(4).
Victory Giant Technology’s Board currently comprises five executive directors, including Chairman Chen Tao, and four independent non-executive directors.
