ZTO Express Reports Stable Share Capital in August; 2.83 Million ADS Repurchases Await Cancellation

ZTO Express (Cayman) Inc. disclosed its monthly return for the period ended 31 August 2026, confirming a stable share structure while highlighting recent share buybacks and outstanding convertible notes.

Authorised and Issued Capital • Authorised share capital remained unchanged at 10.00 billion shares—8.00 billion Class A ordinary shares, 1.00 billion Class B ordinary shares and 1.00 billion undesignated shares—carrying an aggregate par value of USD 1.00 million.

• Issued share capital was steady month-on-month at 557.33 million Class A ordinary shares and 206.10 million Class B ordinary shares, with no treasury shares on the balance sheet at month-end.

Share Repurchase Activity Between 12 and 31 August (U.S. time), the company repurchased 2.83 million American depositary shares (each representing one Class A share) on the New York Stock Exchange. These shares, earmarked for cancellation, remained outstanding as at 31 August 2026 and therefore did not affect the reported issued share total.

Convertible Instruments ZTO Express has two outstanding U.S. dollar–denominated convertible note tranches: 1. USD 17.75 million of 2027 Convertible Senior Notes, convertible at USD 28.3076 per share, with a maximum potential issuance of 0.63 million Class A shares. 2. USD 1.50 billion of 2031 Convertible Senior Notes, convertible at USD 30.4589 per share, with a potential issuance of 49.25 million Class A shares. No conversions occurred during the reporting month.

Public Float Compliance The company affirmed compliance with the Hong Kong Stock Exchange’s minimum 25 percent public-float requirement for its listed Class A shares (stock code: 02057).

Governance Confirmation ZTO Express stated that all share movements and corporate actions during August were duly authorised by the board and carried out in accordance with relevant regulatory and listing requirements.

With its share count unchanged and repurchase programme underway, ZTO Express enters September 2026 maintaining a total of 557.33 million issued Class A shares and an authorised capital base of 10.00 billion shares.
