GOLDENPOWER Completes Subscription Share Issuance, Raising Approximately HK$4.1 Million Net

GOLDENPOWER (03919) has announced the completion of its subscription agreement, which was finalized on August 17, 2026. Under the terms and conditions of the agreement, the subscriber has subscribed for, and the company has allotted and issued, 6.492 million subscription shares at a price of HK$0.65 per share. This issuance represents approximately 16.7% of the company's existing issued share capital prior to completion, and approximately 14.3% of the company's issued share capital after the allotment and issuance of the subscription shares.

Following the completion, the subscriber has become a substantial shareholder and a connected person of the company. The total gross proceeds from the subscription amount to approximately HK$4.2 million, with net proceeds of approximately HK$4.1 million. The company intends to utilize the net proceeds from the subscription as follows: HK$3.3 million, accounting for approximately 80%, will be allocated to repay bank financing that is due within the next six months, while the remaining HK$0.8 million, representing approximately 20%, will be used for the group's general working capital purposes.
