GR Life Style Company Limited announced plans to appoint BDO Limited as its new external auditor for the financial year ending 31 December 2026, replacing incumbent auditor Ernst & Young (EY) upon the conclusion of the 2026 annual general meeting (AGM).

The Board and its Audit Committee cited two primary objectives for the proposed switch: raising audit efficiency and reducing anticipated audit fees, which are considered beneficial to both the company and its shareholders. EY’s current mandate expires at the end of the 2026 AGM, and the firm is expected to confirm in writing whether any matters require shareholder attention before its retirement. The Board noted that no disagreements or unresolved issues with EY are anticipated.

In assessing BDO’s suitability, the Audit Committee reviewed the firm’s audit proposal, track record with Hong Kong–listed companies, independence, market reputation, resource capability, and compliance with guidelines issued by the Accounting and Financial Reporting Council. The committee concluded that BDO’s proposed fees are proportionate to the Group’s scale of operations and that audit quality will be maintained.

Subject to shareholder approval at the 2026 AGM and completion of BDO’s client-acceptance procedures, BDO will serve until the next AGM. The Board will determine the auditor’s remuneration, retaining flexibility to delegate this authority to management if needed.

A circular detailing the proposed change and the 2026 AGM notice will be dispatched to shareholders in due course. The company will announce the AGM voting results and the effective date of the auditor change after the meeting.
