China Southern Airlines Adds 648 A Shares Through Convertible Bond Conversion in August 2026

China Southern Airlines Company Limited released its Monthly Return for Equity Issuer for the period ended 31 August 2026, showing a marginal increase in share capital driven solely by convertible bond activity.

The carrier’s authorised share capital remained effectively flat at RMB 18.12 billion, comprising 4.64 billion H shares and 13.48 billion A shares, both with a par value of RMB 1. No changes were recorded in the H-share tranche, while authorised A shares inched up by 648 units to 13,476,973,184.

Issued share movements were similarly modest. Total H shares in issue were unchanged at 4,643,997,308, with no treasury shares outstanding. A-share issuance rose by 648 shares, lifting the total to 13,476,973,184. Aggregate issued shares across both classes now stand at 18.12 billion.

The incremental A-share issuance stemmed from the conversion of the company’s A-share convertible bonds. Outstanding principal on these bonds decreased by RMB 4.00 million to RMB 5.90 billion, producing 648 new A shares at a conversion price of RMB 6.17 per share. Post-conversion, up to 955.58 million A shares remain available for future issuance under the outstanding bonds. The conversion price was last adjusted from RMB 6.20 to RMB 6.17 on 28 November 2022.

China Southern Airlines confirmed compliance with the Hong Kong Exchange’s minimum 5% public-float requirement for its H shares and reported no treasury share activity during the month. All share movements were duly authorised by the board and executed in line with listing and regulatory obligations.
