GenScript Biotech Adds 11.76 Million Shares in August, Pushing Issued Capital Above 2.20 Billion

GenScript Biotech Corporation disclosed in its Monthly Return for Equity Issuer that 11.76 million new ordinary shares were issued in August 2026, taking total issued share capital (excluding treasury shares) to 2.20 billion shares as of 31 August 2026. The increase represents approximately 0.54% of the 2.19 billion shares outstanding at the end of July.

The authorised share capital remained unchanged at 5.00 billion ordinary shares with a par value of USD 0.001 each, equivalent to USD 5.00 million.

Share issuance drivers: • Share option exercises under the Post-IPO Share Option Scheme generated 6.11 million new shares, bringing options outstanding down to 15.74 million. The exercises raised HKD 54.76 million in cash proceeds. • A further 5.65 million shares were issued on 20 August 2026 to satisfy share awards granted under the company’s share scheme approved on 21 June 2024.

No treasury shares were held, transferred, or cancelled during the month. The company also reported no activity in warrants, convertible securities, or other equity-linked instruments.

GenScript Biotech confirmed compliance with the Hong Kong Main Board’s minimum 25% public-float requirement as of 31 August 2026.
