Chery Automobile Co., Ltd. (Chery Auto) has scheduled an extraordinary general meeting (EGM) for 9:00 a.m. on Thursday, 24 September 2026 at its Automotive Research Institute in Wuhu, Anhui Province, China. Shareholders will vote by poll on three special resolutions focused on the company’s share-based remuneration frameworks.
1. Revision to 2024 Equity Incentive Scheme • Complete removal of paragraph 20.1.2(4) from the equity incentive plan approved on 30 March 2024.
2. Adoption of New H Share Award Scheme • Introduction of an H-share award programme with a Scheme Mandate Limit that caps the aggregate number of new H shares issuable—together with all options and awards under other schemes—at 10% of the company’s issued share capital on the approval date or any subsequent mandate refresh date. • The board will be empowered to administer, amend and execute the scheme in accordance with Chapter 17 of the Hong Kong Listing Rules.
3. Board Authorisation • Directors, or their authorised delegates, will be granted full authority to execute documentation and undertake actions required to implement both the revised 2024 Equity Incentive Scheme and the new H Share Award Scheme.
Key Administrative Details • Shareholders recorded on the register by 4:30 p.m. on Friday, 18 September 2026 are entitled to attend and vote. • The register will be closed from 21 to 24 September 2026 (both days inclusive). • Proxy forms must reach Computershare Hong Kong Investor Services Limited or the company’s PRC headquarters no later than 24 hours before the meeting. • All resolutions will be decided by poll, with results posted on the HKEX and company websites.
