Baidu (BIDU-W) Repurchases 545,000 Shares for HKD 49.96 Million After Hong Kong Dual Primary Listing

Baidu, Inc. disclosed on 8 September 2026 that it bought back 545,000 Class A ordinary shares on the Hong Kong Stock Exchange on 7 September 2026.

The shares were repurchased at prices ranging from HKD 91.35 to HKD 91.85, with a volume-weighted average cost of HKD 91.68 per share, bringing the total consideration to HKD 49.96 million.

The repurchased shares, representing 0.025% of Baidu’s 2.21 billion issued shares, are earmarked for cancellation and had not yet been cancelled as of the reporting date.

Under the buyback mandate approved on 26 August 2026, Baidu is authorized to repurchase up to 273.36 million shares; the latest transaction utilizes roughly 0.02% of that quota.

Following the repurchase, Baidu is subject to a moratorium on issuing new shares or transferring treasury shares until 7 October 2026, in accordance with Hong Kong listing rules.

The disclosure is Baidu’s first Next Day Disclosure Return since its voluntary conversion to a dual primary listing on the Hong Kong Main Board, which became effective on 1 September 2026. The issued share count remains unchanged at 2.21 billion until the repurchased shares are formally cancelled.
