GR Life Style Shareholders Unanimously Approve Issuance of Consideration Shares at Extraordinary General Meeting

GR Life Style Company Limited reported that shareholders have overwhelmingly endorsed the proposed allotment and issuance of Consideration Shares at the Extraordinary General Meeting held on 11 May 2026 in Hong Kong.

• Voting outcome: 1.91 billion shares, representing 100% of votes cast, supported the ordinary resolution; no votes were recorded against.

• Participation base: The company had 3.22 billion issued shares eligible to vote. No shareholders were required to abstain under Hong Kong Listing Rules, and no voting restrictions applied.

• Resolution scope: The approved motion confirms, ratifies and authorises both the allotment and issuance of the Consideration Shares and all related transactions, including the proposed annual caps.

• Meeting attendance: Executive directors Wei Chunxian, Wei Laier and Sun Zhongmin joined electronically, while independent non-executive directors Tung Woon Cheung Eric and To Tsz Wan Vivien attended in person. Independent non-executive director Leung Louis Ho Ming was absent due to business commitments.

• Scrutineer: Tricor Investor Services Limited acted as the vote-counting scrutineer.

With more than 50% of the votes cast in favour, the resolution passed as an ordinary resolution, paving the way for GR Life Style to proceed with the issuance of the Consideration Shares and related transactions.
