JNBY Design Limited will convene its Annual General Meeting (AGM) on 2 October 2026 at 10:30 a.m. in the Bowen Room, Level 7, Conrad Hotel, Pacific Place, Hong Kong. The meeting will be conducted by poll and will seek shareholder approval for the following key items:
• Financial Reporting and Dividends – Adoption of the audited consolidated financial statements and the directors’ and auditor’s reports for the fiscal year ended 30 June 2026. – Declaration of a final dividend of HK$1.06 per ordinary share (approximately RMB0.93). – Declaration of a special dividend of HK$0.75 per ordinary share (approximately RMB0.66). – Shareholders on record as of 9 October 2026 will be eligible for both dividends; the register will be closed from 8 October 2026 to 9 October 2026 for this purpose.
• Board Composition and Remuneration – Re-election of Executive Directors Ms. Li Lin and Ms. Wu Huating. – Authorisation for the board to determine directors’ remuneration.
• Auditor – Re-appointment of Deloitte Touche Tohmatsu as external auditor, with remuneration set by the board.
• Share-Based Incentives – Adoption of the 2026 Share Award Scheme.
• Share Issuance and Repurchase Mandates – General mandate allowing the board to issue, allot or deal with additional shares or convertible securities up to 20% of issued share capital (excluding treasury shares) during the mandate period. – Authorisation for the company to repurchase up to 10% of its issued shares (excluding treasury shares). – Conditional extension of the issue mandate by the number of shares repurchased under the above authority, capped at an additional 10% of issued share capital.
Key Administrative Dates – Shareholders seeking voting rights must ensure their shares are registered by 4:30 p.m. on 25 September 2026; the register will be closed from 28 September 2026 to 2 October 2026. – Proxy forms must be lodged with Tricor Investor Services Limited by 10:30 a.m. on 30 September 2026.
As of the notice date (9 September 2026), JNBY Design’s board comprises Executive Directors Mr. Wu Jian (Chairman), Ms. Li Lin and Ms. Wu Huating; Non-Executive Director Mr. Wei Zhe; and Independent Non-Executive Directors Mr. Lam Yiu Por, Ms. Han Min, Mr. Hu Huanxin and Mr. Wong Shun Tak.
