On 4 September 2026, Nexteer Automotive Group Limited submitted its Monthly Return of Equity Issuer for the period ended 31 August 2026, confirming that the company’s capital structure remained unchanged during the month.

The authorised share capital stood at 4.00 billion ordinary shares with a par value of HKD 0.10 each, representing total authorised capital of HKD 400.00 million. No increase or decrease was recorded.

Issued share capital was steady at 2.51 billion shares, and the company continued to hold zero treasury shares. Nexteer confirmed compliance with Hong Kong’s minimum public-float requirement of 25%, signalling that at least one quarter of its shares remain in public hands.

Under the Share Option Scheme adopted on 5 June 2014, a total of 526,740 options (exercise price: HKD 12.456) were outstanding at month-end, unchanged from the prior month. These options, if fully exercised, would introduce a maximum dilution of approximately 0.02% to the current issued share base. No options were exercised, lapsed, or cancelled in August, and no funds were raised through option exercises.

The filing reported no warrants, convertible securities, share repurchases, or other equity-linked arrangements during the month.

With all core equity metrics—authorised shares, issued shares, and treasury holdings—unchanged, Nexteer’s share capital position remains stable heading into the final quarter of 2026.
